Agreement to these terms
These Terms of Use (“Terms”) are between you and NovaPars Teknoloji (“Agreely”, “we”, “us”), and govern your use of the Agreely app and website. By creating an account or using Agreely, you agree to these Terms. If you do not agree, do not use Agreely.
Your use of Agreely is also subject to our Privacy Policy.
What Agreely is — and is not
Agreely helps individuals and small businesses create informal agreement records and collect electronic signatures. It is a tool for writing down what two people agreed to, in plain language.
Agreely is not a law firm and does not provide legal advice. You create your own agreements; we do not draft, review, verify, or endorse their content, the identity or legal capacity of anyone who signs them, or whether any agreement is binding or enforceable — that depends on its content and your circumstances. Agreely is not a substitute for a licensed attorney. For any agreement involving significant financial, legal, or personal risk, consult a licensed attorney in your jurisdiction.
Agreely is not a party to any agreement you create, and we are not responsible for whether the other party performs their side of it.
Any templates or example language Agreely provides are starting points only, not legal documents tailored to your situation — you are responsible for reviewing and adapting them before use.
Your account
- Eligibility. You must be at least 18 years old to use Agreely.
- Accurate information. You agree to provide accurate account information and to keep it up to date.
- Account security. You are responsible for activity under your account and for keeping your login credentials secure. Tell us promptly if you suspect unauthorized use.
- One person. An account is for a single person or business you are authorized to represent.
Electronic signatures
Agreely lets a person sign by typing or drawing their name. Depending on where you live, a typed or drawn signature may qualify as a valid electronic signature under laws such as the U.S. ESIGN Act and UETA. Whether any particular signature is legally effective is your responsibility to determine, and depends on your jurisdiction and the nature of the agreement.
When an agreement is signed through a web link, we record the signer’s IP address, browser and device information, and a timestamp as a signing audit trail. This supports the integrity of the record but does not establish anyone’s legal identity.
AI-assisted drafting
Agreely’s optional “Draft with AI” feature uses an AI model to generate a first draft of an agreement based on what you describe. AI-generated drafts may contain errors, omissions, or inaccuracies. They are a starting point only — you are responsible for reviewing, editing, and confirming the accuracy of any AI-generated content before using it, exactly as you are for any other agreement you create with Agreely.
Your content
The agreements, details, and signatures you create are yours. You grant us a limited license to store, process, render, and transmit your content solely to operate Agreely for you — for example, to generate a PDF, deliver a signing link, or share a signed agreement with the counterparty you choose. We do not sell your content and we do not use it for advertising.
You are responsible for your content and for having the right to use it. You agree not to include unlawful material, or anyone’s personal information you are not permitted to use.
Acceptable use
You agree not to:
- Break the law. Use Agreely for any unlawful, fraudulent, or deceptive purpose, or to create records you know to be false.
- Impersonate. Sign as, or on behalf of, someone without their authorization, or misrepresent who you are.
- Abuse the sending tools. Use signing links or emails to send spam, or to reach people who have not agreed to receive them.
- Attack the service. Attempt to breach, overload, reverse-engineer, or interfere with Agreely, its security, or other users.
- Misuse the AI feature. Use Draft with AI to generate unlawful content or to attempt to extract the underlying model or system.
Subscriptions and payments
Agreely offers a free tier and an optional paid subscription (Premium). Creating agreements is unlimited on every plan; the free tier limits how many signing links you can send and how many AI drafts you can generate each month. Current limits and prices are shown in the app.
- Fair use. Features described as unlimited are meant for ordinary individual and small-business use. Generous limits sit behind them so that automated or abusive traffic cannot degrade the service for everyone else, and ordinary use does not reach them. If you do reach one, the app tells you how to reach us and we will sort it out with you.
- Billing. Subscriptions are sold and billed by Apple (App Store) or Google (Google Play), not by us. Payment is charged to your store account.
- Auto-renewal. Subscriptions renew automatically at the end of each period unless you cancel at least 24 hours before it ends.
- Managing and cancelling. You manage and cancel your subscription in your App Store or Google Play account settings. Deleting your Agreely account does not cancel a subscription — cancel it separately in the store.
- Refunds. Refunds are handled by Apple or Google under their policies; we cannot issue store refunds directly.
Deleting your account
You can delete your account at any time — from this website, or in the app under Profile → Delete Account. Agreements you have already signed remain available to the other party, including your name and signature as they appear on those documents; a signed agreement is a mutual record and we cannot remove it from someone else’s copy. Disclaimers
Agreely is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Agreely will be uninterrupted, error-free, or secure, or that any document created with it will be valid, enforceable, or fit for your purpose.
Nothing in Agreely is legal advice, and no attorney–client relationship is formed by using it.
Limitation of liability
To the fullest extent permitted by law, Agreely and NovaPars Teknoloji will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or for any dispute arising out of an agreement created with Agreely. Our total liability for any claim relating to Agreely will not exceed the greater of the amount you paid us in the twelve months before the claim, or USD 50.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold harmless Agreely and NovaPars Teknoloji from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of the content of your agreements, your use of Agreely, or your breach of these Terms — including any dispute between you and a counterparty over an agreement you created or signed.
Changes to Agreely and to these terms
We may change, suspend, or discontinue parts of Agreely, and we may update these Terms from time to time. When we make material changes, we will revise the effective date above and, where appropriate, notify you in the app. Continuing to use Agreely after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where your local consumer-protection law provides otherwise.
